These Terms of Service ("Terms") govern your access to and use of the R&D Financial Control & Audit Command Center ("FCAC", the "Service", or the "Platform") operated by NexySBio, a division of Panthera Vax, LLC ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
FCAC is a cloud-based financial control, audit, and R&D tax credit management platform designed for life science and R&D-intensive organizations. The Service provides tools for transaction management, project cost allocation, indirect cost classification, personnel tracking, inventory management, grant compliance, IRS §41 R&D tax credit documentation, and related financial reporting.
To use the Service, you must create an account and establish a workspace. You agree to provide accurate and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.
Each workspace is administered by the account owner, who may invite additional members and assign roles with varying permission levels. The workspace owner is responsible for managing access and ensuring that all members comply with these Terms.
Workspaces provide multi-tenant isolation for your financial data. Each workspace operates independently with its own accounts, transactions, projects, and team members. Workspace administrators may configure roles, permissions, alert settings, and billing preferences.
You agree not to:
Platform ownership: The Service, including all software, designs, algorithms, documentation, and trademarks, is owned by NexySBio and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
Your data: You retain full ownership of all financial data, transaction records, project information, and other content you upload to or create within the Service ("Customer Data"). We do not claim any ownership rights over Customer Data. You grant us a limited license to process Customer Data solely to provide and improve the Service.
Customer Data is stored in isolated, multi-tenant database environments with row-level security. We implement industry-standard security measures including encryption, access controls, and audit logging to protect your data. The Service offers seat-based subscription plans billed monthly or annually through Stripe. New accounts receive a 30-day free trial. After the trial period, an active subscription is required to continue using write operations (creating, updating, or deleting data). Read-only access remains available during any billing gap.
Subscription fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' advance notice. Price changes do not apply to the current billing period.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXYSBIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
The Service provides tools for financial tracking and R&D tax credit documentation but does not constitute tax, legal, or financial advice. You are responsible for verifying the accuracy of all calculations and consulting qualified professionals for tax and legal matters.
You may terminate your account at any time through the Settings page or by contacting us. We may suspend or terminate your access if you violate these Terms or if required by law.
Upon termination, you may request an export of your Customer Data for up to 30 days. After this period, we will delete your data in accordance with our Privacy Policy and applicable data retention requirements. You can exercise your data rights at any time through the Privacy settings in your account.
We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service at least 30 days before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
